OVERVIEW:

The Legal Executive will be responsible for providing comprehensive legal support to the company, with a focus on drafting, reviewing, and negotiating a wide range of agreements. The successful candidate will also handle various commercial and legal matters, manage litigation processes, conduct legal research, and ensure compliance with applicable laws and regulations, and advise the Board of the company and its subsidiary companies on all legal, regulatory, risk, and compliance matters. This role requires a proactive individual with a strong understanding of corporate and commercial law, excellent communication skills, and the ability to manage multiple tasks in a fast-paced environment.

KEY RESPONSIBILITIES:

  • Drafting and Reviewing Agreements:
    • Prepare, review, and negotiate a variety of legal agreements, including but not limited to commercial contracts, non-disclosure agreements (NDAs), service agreements, partnership agreements, and employment contracts.
    • Ensure all contracts and agreements are aligned with the company’s legal and commercial interests.
  • Legal Advisory:
    • Provide legal advice and support to various departments within the company on a range of commercial and legal issues.
    • Advise on legal risks, business strategies, and other matters concerning the company’s operations.
    • Advise the Board of Directors of the company and its subsidiary companies on all legal, regulatory, risk, and compliance matters, ensuring that the Board is well-informed and able to make sound decisions.
  • Litigation Management:
    • Assist in managing the company’s litigation portfolio, including coordinating with external counsel, attending court proceedings, and ensuring timely resolution of disputes.
    • Maintain records of litigation cases and monitor compliance with legal decisions.
  • Compliance:
    • Ensure compliance with all applicable laws, regulations, and corporate policies.
    • Assist in the development and implementation of internal policies and procedures to mitigate legal risks.
  • Research:
    • Conduct legal research and provide updates on relevant laws, regulations, and legal precedents that may impact the company’s operations.
    • Prepare legal opinions, briefs, and reports based on research findings.
  • Corporate Governance:
    • Assist in maintaining corporate records, including minutes of meetings, resolutions, and statutory registers.
    • Support the company’s corporate governance initiatives and ensure compliance with statutory requirements.
  • Training and Development:
    • Provide training to staff on legal topics relevant to their roles and responsibilities.
    • Develop and maintain legal templates and guidelines for use by the company.

JOB REQUIREMENTS:

  • Educational Qualifications:
    • Bachelor’s degree in law (LLB) or equivalent from a recognized institution.
    • Admission to the Malaysian Bar (preferred but not mandatory).
  • Experience:
    • Minimum of 3 to 5 years of post-qualification experience in a legal role, preferably within a commercial organisation or law firm.
    • Proven experience in drafting and negotiating a wide range of legal agreements.
    • Experience in handling litigation matters and managing external legal counsel.
  • Skills and Competencies:
    • Strong understanding of corporate and commercial law.
    • Excellent legal drafting and negotiation skills.
    • Strong analytical and problem-solving abilities.
    • Strong ability to manage multiple tasks and deadlines with a high level of accuracy and attention to detail.
    • Excellent communication and interpersonal skills with the ability to liaise effectively with internal and external stakeholders.
    • High level of integrity and professionalism.
    • Proficiency in legal research and familiarity with legal research tools.
    • Good understanding of legal terms and concepts relevant to documentation, litigation and administrative process. 
  • Other Requirements:
    • Ability to work independently as well as in a team environment.
    • Strong attention to detail and organisational skills.
    • Proficiency in Microsoft Office Suite and legal document management systems.
    • Fluency in Bahasa Malaysia and English, both written and spoken.
